Taras G. Borkowsky specializes in corporate, financing and securities law with substantial experience representing and counseling a variety of public and privately held companies in the consumer products, communications, utility, energy services, chemical and real estate industries. Mr. Borkowsky’s transactional experience includes large and small company acquisitions, mergers and divestitures; private and public equity, asset-based and other debt financings; real estate and equipment sale and lease back transactions; and private placements. Mr. Borkowsky’s experience in the energy field includes representing clients in the competitive auction and divestiture of a number of coal-fired generating stations and nuclear power plants.
Mr. Borkowsky has significant experience drafting and negotiating a broad variety of corporate and commercial agreements, including confidentiality, buy-sell, shareholder, consulting and licensing agreements and counsels clients on all aspects of federal and state securities laws, including corporate governance and compliance issues, insider reporting obligations, shareholder communications, annual reports and proxy statements, corporate board proxy contests and ongoing disclosure issues.
