Steven Cohen is a partner in the Firm’s Corporate and Securities Practice Group, where he leads the Investment Management practice and serves as Chair of the Firm’s Opinion Committee.
Mr. Cohen advises public and private companies on a wide range of complex corporate transactions, including mergers and acquisitions, public and private financings (debt and equity), bank financings, joint ventures, and licensing arrangements. He also counsels public companies on securities law compliance, including the preparation and filing of registration statements, proxy statements, and periodic reports under the Securities Act of 1933 and the Securities Exchange Act of 1934. His clients span a diverse range of industries, including hospitality, grocery, defense, entertainment, technology, biotechnology, and life sciences.
Mr. Cohen’s investment management practice focuses on the representation of private investment funds, sponsors, and investors across hedge fund and private equity strategies. He advises registered investment advisers and private fund managers on regulatory and compliance matters under the Investment Advisers Act and structures compensation arrangements for senior investment professionals. His practice also includes advising family offices on governance and investment activities and representing investors in activist positions, including proxy contests.
Mr. Cohen regularly advises corporations, boards of directors, and board committees on governance, fiduciary duties, and related legal obligations. Clients rely on his judgment to navigate the intersection of business objectives and regulatory requirements in high-stakes, often sensitive, matters.
Mr. Cohen is sought after as a subject matter expert in his field and has written on legal and regulatory issues within his areas of practice. He previously served as an Associate Editor of the Georgetown University Law Center’s Journal of Law and Technology and as an Articles Editor of the National Jewish Law Review.
From 2017 to 2022, Mr. Cohen served as General Counsel of the Hotel Association of New York City. He currently serves as a Trustee of Beth El Synagogue.
Outside of his legal practice, Mr. Cohen is an avid backpacker, mountaineer, and backcountry skier.
