Steven Cohen is a partner in the Firm’s Corporate and Securities Practice Group. He has extensive experience structuring and negotiating mergers and acquisitions, public and private corporate financings including debt and equity offerings, bank financings, joint ventures, licensing transactions and numerous other complex business and transactional matters. He also has significant experience in the general representation of public companies and their regulatory compliance with securities laws including the preparation and filing of registration statements, proxy statements, periodic reports and other filings with the Securities and Exchange Commission under the Securities Act of 1933 and the Securities Exchange Act of 1934. He also provides general corporate and business representation and advises corporations, Boards and Board Committees on their legal obligations and governance issues.
Mr. Cohen also specializes in the representation of private investment companies and related regulatory compliance issues. He structures, organizes and advises hedge funds and private equity funds having a variety of investment and financing strategies, registered investment advisors and private fund managers and represents both sponsors and investors. He also structures and negotiates complex compensation arrangements for investment management professionals.
Mr. Cohen was an associate editor of the Journal of Law and Technology. While in law school, he also served as an articles editor of the National Jewish Law Review. Mr. Cohen is fluent in Hebrew.
