Mitchell D. Hollander is a partner in the firm's Corporate, Business and Securities practice group. Mr. Hollander has experience in representing and advising a variety of clients including private and public companies (which vary from OTC to NYSE listed companies), private equity funds, financial institutions, business owners and managers and not-for-profit entities in connection with a variety of business transactions, financings and general corporate matters.

Representative transactions include mergers and acquisitions, private equity transactions, proxy contests and tender offers, joint ventures and strategic alliances, SPACs and reverse mergers with shell companies, initial public offerings, public offerings and private placements of debt and equity securities, various lending transactions, Hart-Scott-Rodino matters, exchange act filings and compliance.

Mr. Hollander’s general corporate work includes the formation and organization of various business entities, including corporations, partnerships and limited liability companies, drafting letters of intent, shareholder agreements, employment and consulting agreements, non-compete agreements and confidentiality agreements, distribution and agency agreements and various other forms of commercial arrangements.

Mitch also has substantial experience in representing a variety of entrepreneurs in establishing and growing a business.

Mr. Hollander is a graduate of Lehigh University (B.S. degree in Accounting, 1985) and Brooklyn Law School (J.D., 1990). While attending law school, Mr. Hollander acted as a Law Clerk to the Honorable Cornelius Blackshear (United States Bankruptcy Judge for the Southern District of New York) and received the American Jurisprudence Award for excellent achievement in the study of Debtors' and Creditors' rights.

Mr. Hollander is also a C.P.A. with "Big Five" accounting and tax experience. Mr. Hollander's accounting and tax experience in analyzing and structuring business transactions is valued as an asset by our clients. He is a member of the American Institute of Certified Public Accountants.

Mr. Hollander is a member of the Business Law Section of the American Bar Association and is a member of the Association of the Bar of The City of New York. He is admitted to practice law in the States of New York and New Jersey.
